Terms of Service

These terms govern your access to the Tooliva website, desktop toolkit, account services, and paid features.

Effective date: May 28, 2026

1. Scope

These Terms of Service apply to the Tooliva website, downloadable desktop application, account system, and related support, update, and membership services operated under the Tooliva brand.

By visiting the website, creating an account, downloading the application, or using any paid or free feature, you agree to these terms. If you use Tooliva on behalf of an organization, you confirm that you have authority to bind that organization.

2. Eligibility and account responsibility

You must provide accurate account information and keep your login credentials secure. You are responsible for activity that occurs under your account, including sign-in through third-party providers such as WeChat, Google, or GitHub.

You must promptly notify us if you believe your account has been accessed without authorization.

3. License and permitted use

Subject to these terms, Tooliva grants you a limited, non-exclusive, non-transferable, revocable license to install and use the desktop application for your own internal content production, editing, and media workflow needs.

You may not copy, resell, lease, sublicense, reverse engineer, bypass technical restrictions, or use the service to violate law, infringe intellectual property, or process unlawful content.

4. Local processing and user content

Tooliva is designed primarily for local processing of images, videos, GIFs, and related media assets on your own device. You remain responsible for the legality, ownership, and permissions associated with any material you process through the product.

You retain your rights in your source files and output files. These terms do not transfer ownership of your content to Tooliva.

5. Paid plans, billing, and changes

Some features may require a paid subscription, one-time purchase, or membership entitlement. Pricing, feature limits, and billing cycles shown on the pricing page or checkout flow are incorporated into these terms.

If a payment processor is used, your transaction is also subject to that processor’s terms. We may update prices or plan features prospectively, and those changes will not retroactively alter benefits already delivered for a completed billing period unless required by law.

6. Service availability and updates

We may release updates, patches, compatibility fixes, and feature adjustments for the website and desktop application. Some updates may be required to maintain security, account access, or service compatibility.

We do not guarantee uninterrupted availability of the website, login services, downloads, or all features at all times.

7. Intellectual property

Tooliva and its related software, branding, site content, interface design, and documentation are protected by intellectual property laws. Except for the limited license granted above, all rights remain with Tooliva or its licensors.

8. Suspension and termination

We may suspend or terminate access if you materially breach these terms, misuse the service, create security risk, engage in fraudulent payment behavior, or use the product in a way that could harm the service or other users.

You may stop using Tooliva at any time. Provisions that reasonably should survive termination, including payment obligations, intellectual property protections, disclaimers, and limitation provisions, remain in effect.

9. Disclaimers and limitation of liability

The service is provided on an as-is and as-available basis to the extent permitted by law. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Tooliva will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption arising from use of the service.

10. Changes to these terms

We may update these terms when the product, legal requirements, or business model changes. Material updates will be published on this page with a revised effective date.
